With Five Prime Advisors on Board, Atlas Spine Raises $3.5M

NEW YORK — An SEC filing indicates that Atlas Spine Inc., which create spinal implant and instrument systems, has completed a$3.5 million equity offering, raising the amount from a single investor.

Principals named in the filing include:

Hanley, who has served as a director since 2005, has also been chairman and CEO of Optical Alchemy, Inc. since July 2007. Previous positions included that of chairman of Video Communications Inc. and chairman, president and CEO of Millitech, Inc.

The filing says that Five Prime Advisors received $275,000 in finder’s fees expenses as well as a five-year warrant to purchase up to 300,000 shares at $0.84 per share.

Based in Jupiter, Fla., Atlas Spine develops integrated implant/instrument systems that are used for surgical procedures on the spine.

Bios:

Alan Olsen
Alan Olsen is Chairman of Atlas Spine. Prior to joining the Company, he founded Robomedica, Inc., a company that develops, manufactures and markets robotic and interactive devices to automate rehabilitation therapies for patients with spinal cord and traumatic brain injury and stroke. Mr. Olsen is also on the Board of Directors of Cyberonics, Inc. (Nasdaq: CYBX), which has changed the standard of care in epilepsy treatment. Previously, Mr. Olsen was founder and President of Danek Medical, Inc. The subsequent $218 million merger of Sofamor, Inc. and Danek created the largest spinal implant company in the world.

Clay Baynham, M.D.
Clay Baynham, M.D. – Dr. Baynham is one of our founders and has served as a director since June 2001. He is an orthopedic board certified spine surgeon. He graduated from and completed both his internship and residency at the University of Florida School of Medicine. He also completed fellowship training at the Lakewood Orthopedic Clinic in Denver, Colorado under Dr. David R. Donaldson and at the Kerlin-Jobe Orthopedic Clinic in Inglewood, California under Dr. Bob Watkins.

Doug Watson
Doug Watson – Mr. Watson has served as a director since 2005. Previously, he served as President and Chief Executive Officer of Ondine Biopharma Corporation (TSX: OBP) and GenSci Regeneration Sciences, Inc. (TSX: GNX). Early in his career, Mr. Watson served in various sales & marketing and business development capacities, including work with three startups where he was involved in product launch, distribution network development, sales & marketing, and strategic planning.

Robert King
Mr. King has spent nearly 25 years providing financial and strategic advice to hundreds of U.S. and European corporations, private equity buyers, and entrepreneurs. For most of his career, he has focused on the medical technology, device and therapeutics industries. Mr. King has completed approximately 150 advisory mandates, financings, investments, valuations, and fairness opinions. He has held senior positions at several U.S. and European investment banks. Prior to founding Five Prime Advisors, Mr. King was a Managing Director at Maxim Group in New York where he led its healthcare practice.

He is a member of the Alliance for Science and Technology Development at The Johns Hopkins School of Medicine, an advisory committee that provides Hopkins faculty advice with respect to strategic direction and opportunity evaluation regarding medical technology developed in university laboratories. He is also a member of the Board of Directors of Atlas Spine, Inc., a developer of spinal implant technology, and Omega Solutions, LLC, a software-as-service applications developer providing claims remediation solutions for hospital and large practice financial administrators.

Mr. King sits on the Board of Directors of ServeHAITI, an Atlanta-based Catholic charity that built and operates a clinic in the mountains of East-Central Haiti. In addition to the provision of healthcare, the charity has been instrumental in bringing basic infrastructure support, educational and microfinance resources to the region.

Mr. King completed Ph.D. coursework in International Economics at the University of California. He holds an M.A. in Economics from the University of San Francisco, where he was subsequently a lecturer in Economics, Finance and Statistics, a B.A. in Biology from the University of California, where he was a Regents of the University of California Research Fellowship recipient, and a B.A. in Spanish from Creighton University, where he was a Jesuit Humanities Scholar. He is a member of the New York Society of Security Analysts and the CFA Institute. After high school, Mr. King spent several years as a member of the Society of Jesus (the “Jesuits”).

Andrius Pranskevicius- Investment Manager
With over 11 year experience in private equity, real estate, and fixed income strategy on an international level, Andrius Pranskevicius is our Investment Manager. His responsibility at Mart Management is to oversee the client’s assets and offer suggestions to meet the investment goals. Andrius has worked in many different countries including Lithuania, Ukraine, Romania, Netherlands, Bulgaria and is currently in the United States. He has held positions as CFO and CEO. Having accumulated a widespread contact and relationship list his assets are valuable to our company.

Andrius has his Bachelor’s degree in Business Administration and Management and currently resides with his family in Jupiter, Florida. He enjoys skiing and spending time with his family.
